GuitarApp Embed Widgets Terms of Service

These Terms of Service govern your use of the GuitarApp Embed Widgets on your website, including tuner and metronome. By embedding any GuitarApp Widget on your website, you are agreeing to these Terms of Service

We, Legato Labs Ltd, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. These Terms of Service were last updated on 15 Sept 2022.


Definitions

  1. Subscriber: this refers to any company, organisation or individual who has subscribed to one of the subscription packages provided by Legato Labs Ltd, trading as GuitarApp.
  2. Embed: this refers to the GuitarApp Embed Widgets distributed by Legato Labs Ltd.

2. Allowable Use - Free Tier

  1. You may use the Embeds for free on your website provided that you make them available for free to your visitors.
  2. You must also place a standard href link to https://guitarapp.com on your webpage near the embedded tool or somewhere else prominant on your website. Please note that text ("powered by GuitarApp") within our iframe is not a weblink and you are required to create your own link back to https://guitarapp.com outside of the iframe.
  3. If you would like to use the Embeds commercially without GuitarApp branding please refer to article 2 "Commercial Terms - Paid Tier"

3. Commercial Terms - Paid Tier

Our Commercial plans allow you to use the Embeds without GuitarApp branding and without the need to provide a backlink to https://guitarapp.com. To discuss commercial plans, please contact us at bizdev@guitarapp.com. Upon choosing a plan, you will be subjected to the following commercial terms:

  1. An invoice will be raised and sent to the Subscriber's contact email at the end of each calendar month.
  2. Standard payment terms are 14 days from the date of the invoice being raised.
  3. Payments between the Subscriber and Legato Labs Ltd will be processed by a third-party service provided by Revolut Ltd.
  4. All payments owed to Legato Labs Ltd are to be made by an electronic payment via a bank card payment or Revolut Pay.
  5. The absence of payment shall result in the deactivation of your account.
  6. The subscription automatically renews on a monthly basis.
  7. The payment for the subscription is due even in case of non-exploitation of the Embed.
  8. Legato Labs Ltd reserves the right to modify its pricing and terms at any time, and such changes or modifications will be effective immediately upon the next renewal, billing period, upgrade or downgrade of the Services with notice to Subscriber.
  9. It is the responsibility of the Subscriber to integrate the Embed code into the Subscriber's own website or application.
  10. The subscription price is based on the number of page views of the page. containing the Embed. The page view count begins on the first day of each month and ends on the last day of that month.
  11. For the first month invoiced, the number of page views shall be prorated based on the subscription enrolment date.
  12. Legato Labs Ltd does not store any credit card details of the Subscriber.

4. Limitations of Use

By using the Embeds, you warrant on behalf of yourself, any entity who you represent who has entered into these Terms of Service, that you will not:

  1. modify, copy, prepare derivative works of, decompile, or reverse engineer the Embeds or any materials and software contained within https://guitarapp.com or its associated services;
  2. remove any copyright or other proprietary notations from the Embeds or any materials and software contained within the Embeds or GuitarApp or any of its associated services;
  3. knowingly or negligently use the Embeds, GuitarApp or any of its associated services in a way that abuses or disrupts our networks or any other service Legato Labs Ltd provides;
  4. use the Embeds, GuitarApp or its associated services in violation of any applicable laws or regulations;
  5. use the Embeds, GuitarApp or its associated services to send unauthorised advertising or spam;
  6. use the Embeds, GuitarApp or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

5. Intellectual Property

The intellectual property in the materials in the Embeds and https://guitarapp.com are owned by or licensed to Legato Labs Ltd. You may use the Embeds on your website, subject to the provisions in this agreement.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or these Terms of Service and may be terminated by Legato Labs Ltd at any time, for any reason.


6. Liability

The Embeds and the materials on https://guitarapp.com are provided on an 'as is' basis. To the extent permitted by law, Legato Labs Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall Legato Labs Ltd or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use the Embeds, https://guitarapp.com or its associated services, or any other services provided by Legato Labs Ltd, even if Legato Labs Ltd or an authorised representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.


7. Accuracy of Materials

The materials appearing in the Embeds or on https://guitarapp.com are not comprehensive and are for general information purposes only. To the extent permitted by law, Legato Labs Ltd does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials in the Embeds, https://guitarapp.com, or otherwise relating to such materials or on any resources linked to https://guitarapp.com.


8. Links

Legato Labs Ltd has not reviewed all of the sites linked to https://guitarapp.com or on its corresponding website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by Legato Labs Ltd of the site. Use of any such linked website is at your own risk and we strongly advise you to make your own investigations with respect to the suitability of those sites.



9. Right to Terminate

We may suspend or terminate your use of GuitarApp Embed Widgets and these Terms of Service immediately upon written notice to you for any breach of these Terms of Service. Either party may terminate the agreement for any reason upon written notice to the other party.

In case of termination on the Subscriber part, any payment for a subscription period already begun is due and no refund will be issued to the Subscriber.


10. Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.


11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ireland. You irrevocably submit to the exclusive jurisdiction of the courts in Ireland.
